Terms of Service

Effective October 30, 2026 · Last updated October 30, 2026

RIGN is a product of LoweCo LLC. These Terms are the agreement between LoweCo LLC (“RIGN”, “we”, “us”) and the business that subscribes to RIGN (“Customer”, “you”). They cover the RIGN back office, register, kitchen display, scheduling and time clock, Venue Control, online ordering connectors, staff chat, software that runs on RIGN hardware, and anything else we provide under an Order Form (together, the “Service”).

Short version. You pay for RIGN under your Order Form. Your restaurant's data belongs to you. Card payments go through a separate payment processor. Don't misuse RIGN, and don't copy it or take it apart. Our liability is limited. Either side can end the agreement as described below.

This summary isn't part of the Terms. The sections below control.

1. The agreement

These Terms apply when you sign an Order Form that references them, click to accept them, or use the Service. If you accept for a company, you confirm you have authority to bind it. The agreement is made up of: (a) the Order Form, (b) these Terms, (c) the Acceptable Use Policy, (d) the Data Processing Addendum, and (e) any other document the Order Form names. If they conflict, that list is the order of priority, unless the Order Form expressly says it overrides a specific section of these Terms.

The Service is for businesses. It is not offered to consumers for personal, family or household use.

2. Key terms

3. Your subscription and license

During the subscription term, and as long as you're paid up and following these Terms, we give you a limited, non-exclusive, non-transferable, non-sublicensable right for your Users to access and use the Service for your internal business operations at the locations listed in your Order Form.

Any RIGN software installed on your devices (for example the register or kitchen display app, or the Site Hub) is licensed, not sold, and may only be used with the Service. Licenses may be tied to a specific location or device and may stop working if moved without our approval.

You are responsible for your Users, for keeping logins, PINs and devices secure, for setting roles and permissions, and for telling us promptly if you think an account has been compromised.

4. Ownership, no copying and no reverse engineering

RIGN and its software, designs, screens, workflows, integrations, documentation, logos and the RIGN name are owned by LoweCo LLC and its licensors and are protected by copyright, trademark, trade secret and other laws. Except for the license in Section 3, no rights are granted to you, by implication or otherwise.

You will not, and will not let anyone else:

RIGN's software, documentation, pricing and roadmap that aren't public are our confidential information. Breaking this Section causes harm that money can't easily fix, so we may seek an injunction or other court order to stop it, in addition to any other remedy.

If you send us ideas or feedback, we may use them freely without any obligation to you.

5. Your data

You own your Customer Data. You give us permission to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service, to comply with law, and as you instruct. We don't sell Customer Data, and we don't use it to advertise to your guests or staff.

You are responsible for the accuracy of Customer Data and for having the rights, notices and consents needed to collect it and let us process it, including notices to your employees and guests. For personal information, we act as your service provider (or processor) under the Data Processing Addendum.

We may create aggregated or de-identified data from use of the Service that does not identify you, your locations, guests or employees, and use it to run and improve the Service. We will not try to re-identify it.

You can export your Customer Data using the Service's export features while your subscription is active and for 30 days after it ends (see Section 13).

6. Fees, billing and taxes

Fees, billing frequency, subscription term and any hardware, setup or per-location charges are as stated in your Order Form. Our published prices are not part of these Terms. Unless the Order Form says otherwise, fees are billed in advance, are non-refundable, and are due within the period stated on the invoice.

Fees don't include taxes. You'll pay any sales, use, VAT or similar taxes on your purchase, other than taxes on our income. If a payment is late, we may charge interest at the lesser of 1.5% per month or the highest rate the law allows, and after notice we may suspend the Service until you're caught up.

We may change fees for a renewal term by giving you at least 30 days' notice before the renewal.

7. Payment processing

RIGN is not a bank, money transmitter or payment processor. Card and other guest payments taken through RIGN are processed by a third-party payment processor under a separate agreement between you and that processor. Payouts to employees (for example tip payouts), where offered, are made by a third-party payout or banking provider under its own terms.

The processor or provider, not RIGN, is responsible for authorizing, settling, funding and reversing payments, chargebacks, and its own security and compliance. RIGN isn't responsible for processor or provider fees, holds, declines, delays or errors. You are responsible for meeting your processor's rules, including any card network rules that apply to you.

8. Third-Party Services and equipment

The Service can connect to Third-Party Services you choose, such as delivery marketplaces, payroll exports, website platforms, and TV, audio and camera equipment. Your use of them is governed by your agreements with those providers. We don't control them and aren't responsible for them, including changes that stop an integration from working.

Venue Control. When you use RIGN to control TVs, receivers, audio zones or other equipment, you are responsible for the equipment, its installation and safety, sensible volume limits, and having the licenses needed to show or play content in your business (for example commercial TV subscriptions and public-performance music licenses). Equipment can fail or behave unexpectedly; keep a manual way to operate it.

Labor and payroll features. Scheduling, time clock, overtime alerts, tip pooling and payroll exports are tools to help you. You remain responsible for your wage, hour, break, tip, scheduling and record-keeping obligations, and for checking results before you pay people. RIGN does not provide legal, tax, accounting or employment advice.

9. Acceptable use

You'll use the Service lawfully and follow the Acceptable Use Policy. We may suspend access that we reasonably believe threatens the security, integrity or availability of the Service, or that breaks the law or the Acceptable Use Policy. We'll try to give notice first when that's reasonable and will restore access once the problem is fixed.

10. Availability, support and changes

We'll use commercially reasonable efforts to keep the Service available and to provide support as described in your Order Form. Planned maintenance, emergencies, internet or power outages at your location, and Third-Party Service problems may affect availability. Some features are designed to keep working at your location during internet outages, but we don't guarantee offline operation.

We improve RIGN often. We may add, change or remove features, but we won't materially reduce the core functionality of the Service you've subscribed to during your current term. Features marked beta, preview or demo are provided as-is and may change or end at any time.

11. Confidentiality

Each side will protect the other's non-public information that is marked or reasonably understood to be confidential, use it only for this agreement, and share it only with people who need to know it and are bound to protect it. This doesn't cover information that is public through no fault of the recipient, was already known to it, was independently developed, or was rightfully received from someone else. A side may disclose confidential information when the law requires, after giving notice where allowed.

12. Security

We use reasonable administrative, technical and physical safeguards designed to protect Customer Data, as described in the Data Processing Addendum. No system is perfectly secure. You're responsible for the security of your own devices, networks, Wi-Fi, accounts and equipment at your locations.

13. Term and termination

The subscription term and renewal are set in the Order Form. Unless it says otherwise, the term renews automatically for the same length unless either side gives notice of non-renewal at least 30 days before the end of the current term.

Either side may terminate the agreement if the other materially breaches it and doesn't fix the breach within 30 days after written notice, or if the other becomes insolvent or stops doing business. We may terminate immediately if you breach Section 4.

When the agreement ends, your right to use the Service stops and you'll pay any amounts owed. For 30 days afterwards you may export your Customer Data. After that we will delete Customer Data from our active systems within 90 days, except for copies in backups that roll off on their normal schedule or that the law requires us to keep. Sections 4, 5 (aggregated data), 6 (amounts owed), 11, 14, 15, 16 and 18 survive.

14. Warranties and disclaimer

We warrant that the Service will perform materially as described in our documentation during your subscription term. If it doesn't, tell us; we'll try to fix it, and if we can't within a reasonable time, either side may terminate the affected subscription and we'll refund prepaid fees for the remaining term. That is your only remedy for a breach of this warranty.

Except as expressly stated in these Terms, the Service, demos, beta features and all content are provided “as is” and “as available”. To the fullest extent the law allows, RIGN disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and that the Service will be uninterrupted, error-free, or that calculations of wages, overtime, tips, taxes or sales will be correct for your circumstances.

15. Limitation of liability

To the fullest extent the law allows: (a) neither side will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business interruption, even if it was told they were possible; and (b) each side's total liability arising out of or related to this agreement will not exceed the fees you paid or owed for the Service in the 12 months before the event giving rise to the claim.

These limits don't apply to your payment obligations, your breach of Section 4 or the Acceptable Use Policy, a side's indemnity obligations, or liability that the law doesn't allow to be limited.

16. Indemnities

By RIGN. We'll defend you against a third-party claim that the Service, as we provide it, infringes that party's intellectual property rights, and pay the resulting damages and costs finally awarded or agreed in settlement. If such a claim happens or seems likely, we may modify the Service, get you the right to keep using it, or end the affected subscription and refund prepaid fees for the remaining term. We have no obligation for claims caused by Customer Data, Third-Party Services, combinations with things we didn't provide, or use not allowed by these Terms.

By you. You'll defend RIGN against third-party claims arising from Customer Data, your use of the Service in breach of these Terms or the law, your employment practices, your dealings with guests, or content you play or display, and pay the resulting damages and costs finally awarded or agreed in settlement.

Process. The side seeking defense must give prompt notice, reasonable help, and control of the defense and settlement to the defending side. A settlement can't impose obligations on the protected side without its consent.

17. Changes to these Terms

We may update these Terms. If a change is material, we'll give at least 30 days' notice by email or in the Service. Changes apply from your next renewal unless they're needed for legal or security reasons, in which case they apply when stated. Continuing to use the Service after a change takes effect means you accept it.

18. Governing law, disputes and general terms

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. The state and federal courts located in Orange County, California have exclusive jurisdiction, and each side consents to them, except that either side may seek an injunction in any court to protect its intellectual property or confidential information.

Neither side may assign this agreement without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its relevant assets. Neither side is liable for delays caused by events beyond its reasonable control. Notices to RIGN go to [email protected] and LoweCo LLC, 331 Thor Pl, Brea, CA 92821. If any part of these Terms is unenforceable, the rest stays in effect. A failure to enforce a right isn't a waiver. The parties are independent contractors. This agreement is the entire agreement between the parties about its subject and replaces earlier agreements about it. Purchase-order terms you send us don't apply.
